1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Limaz ("Company", "we", "us", or "our"), governing your access to and use of the Naiza platform, including our website at naiza.ai, APIs, dashboard, documentation, and any related services (collectively, the "Service").

By creating an account, accessing the Service, or integrating with our API, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree with any part of these Terms, you must not use the Service.

2. Definitions

"API" refers to the Naiza application programming interface, including all endpoints, webhooks, and related technical interfaces provided as part of the Service.

"API Key" refers to the unique authentication credential issued to you for accessing the API.

"Event" refers to any data submission sent to the Naiza API for fraud evaluation, including but not limited to authentication events, transaction events, and custom events.

"Tenant" refers to the organizational workspace created within the Service, under which API keys, rules, team members, and data are managed.

"Decision" refers to the fraud evaluation response returned by the Service, which may include ALLOW, BLOCK, or REVIEW outcomes along with risk scores and triggered rules.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete registration information. You are responsible for maintaining the confidentiality of your account credentials, including your password and API keys.

You must promptly notify us at contact@limaz.co if you become aware of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from unauthorized use of your account where you have failed to maintain adequate security of your credentials.

You may not create multiple accounts to circumvent usage limits, share accounts between separate legal entities, or transfer your account to another party without our prior written consent.

4. Use of the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms and any applicable plan or agreement.

You may use the Service to evaluate events for fraud risk, manage rules, review decisions, and integrate fraud detection into your applications via our API. All use must comply with applicable laws and regulations, including the Kingdom of Saudi Arabia's Personal Data Protection Law (PDPL).

  • You agree not to: (a) reverse engineer, decompile, or disassemble any part of the Service; (b) use the Service to build a competing product; (c) submit data that you do not have the right to process; (d) attempt to gain unauthorized access to any part of the Service or its infrastructure; (e) use the Service in any manner that could damage, disable, or impair the Service; (f) use the Service for any unlawful purpose.

5. API Usage and Rate Limits

Your use of the API is subject to rate limits and usage quotas as defined by your plan. We reserve the right to throttle or temporarily suspend API access if usage significantly exceeds normal patterns or threatens the stability of the Service.

You are responsible for implementing appropriate error handling and retry logic in your integration. The Service provides synchronous and asynchronous processing modes; the choice of mode and its implications for your application are your responsibility.

API keys must be kept confidential and should not be embedded in client-side code, public repositories, or any location accessible to unauthorized parties. You are responsible for all activity that occurs under your API keys.

6. Data Ownership and Processing

You retain ownership of all data you submit to the Service ("Customer Data"). By using the Service, you grant us the right to process Customer Data solely for the purpose of providing and improving the Service.

We process Customer Data in accordance with our Privacy Policy. All Customer Data is stored and processed within the Kingdom of Saudi Arabia and does not leave Saudi territory.

We may generate aggregated, anonymized, and de-identified data from your use of the Service ("Aggregated Data"). Aggregated Data does not identify you or your end users and may be used by us for any lawful business purpose, including improving the Service and conducting research.

You are responsible for ensuring that your collection and submission of data to the Service complies with all applicable privacy laws and that you have obtained any necessary consents from your end users.

7. Intellectual Property

The Service, including its software, algorithms, models, documentation, trademarks, and visual design, is and remains the exclusive property of Limaz. These Terms do not grant you any ownership interest in the Service.

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without restriction or obligation to you. We are under no obligation to implement any feedback.

8. Fees and Payment

Certain features of the Service may be subject to fees as outlined in your selected plan or as separately agreed. Fees are exclusive of applicable taxes unless stated otherwise.

We reserve the right to modify pricing with at least thirty (30) days' prior written notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

If payment is not received by the due date, we may suspend or restrict your access to the Service until the outstanding balance is settled. You remain responsible for all charges incurred during any period of non-payment.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control.

We will make reasonable efforts to provide advance notice of planned maintenance. Emergency maintenance may be performed without prior notice when necessary to protect the integrity or security of the Service.

The Service is provided "as is" and "as available." We make no warranties, whether express, implied, or statutory, regarding the Service, including any warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Limaz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service.

Our total cumulative liability for all claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.

The Decisions provided by the Service are advisory in nature. You acknowledge that no fraud detection system is infallible, and you are solely responsible for the final determination of how to act on any Decision. We are not liable for any fraud that occurs despite your use of the Service.

11. Indemnification

You agree to indemnify, defend, and hold harmless Limaz, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any data you submit to the Service; or (e) any dispute between you and your end users.

12. Termination

You may terminate your account at any time by contacting us at contact@limaz.co. Upon termination, your access to the Service will be revoked and your data will be handled in accordance with our Privacy Policy.

We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. We may terminate immediately and without notice if you breach these Terms, engage in fraudulent activity, or if continued provision of the Service becomes commercially impracticable.

Sections relating to intellectual property, limitation of liability, indemnification, governing law, and any provisions that by their nature should survive, will survive termination of these Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Riyadh, Kingdom of Saudi Arabia.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, the Service, or applicable law. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.
